Agrosoko Terms of Service

1. Introduction and Acceptance
Welcome to Agrosoko, a comprehensive agricultural platform connecting farmers, warehouse operators, and buyers. By accessing or using any Agrosoko services, including our Farm Manager, Warehouse Manager, Marketplace, or Administrative applications, you agree to be bound by these Terms of Service (“Terms”).
If you do not agree to these Terms, please do not use our services.
2. Service Description
Agrosoko provides the following services:
- Farm Manager Application: Offline-first PWA for farm operations, farmer management, season tracking, and agricultural data collection
- Warehouse Manager Application: Inventory management, product tracking, owner management, and transaction processing
- Marketplace Platform: Public e-commerce platform connecting agricultural product buyers with warehouse inventory
- Administrative Platform: Multi-tenant management system for platform administration and organization oversight
3. User Accounts and Registration
3.1 Account Types
- Organization Accounts: For farm operators, warehouse managers, and administrative staff (multi-tenant accounts)
- Individual Buyer Accounts: For marketplace buyers (individual and corporate buyers)
- Guest Access: Limited marketplace browsing without registration
3.2 Registration Requirements
You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities under your account
- Notify Agrosoko immediately of any unauthorized account access
3.3 Organization Members
For organization accounts, the organization administrator is responsible for:
- Managing team member access and roles
- Ensuring team members comply with these Terms
- Data privacy and security within the organization’s tenant space
- Payment obligations for the organization’s account
4. User Responsibilities and Conduct
4.1 Prohibited Activities
You agree NOT to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful code, viruses, or malware
- Attempt unauthorized access to our systems
- Interfere with service operation or other users’ access
- Use the platform for fraudulent purposes
- Scrape, mine, or harvest data without permission
- Impersonate others or misrepresent affiliations
- Post false, misleading, or defamatory content
4.2 Data Accuracy
Users are responsible for:
- Accuracy of farm records, inventory data, and transaction information
- Proper categorization and description of marketplace products
- Timely updates to pricing, availability, and product specifications
- Compliance with agricultural regulations and standards
5. Marketplace Terms
5.1 Product Listings
Warehouse operators listing products agree to:
- Provide accurate product descriptions, pricing, and availability
- Honor listed prices for reasonable order quantities
- Comply with food safety and quality standards
- Update inventory in real-time to prevent overselling
- Respond promptly to buyer inquiries and orders
5.2 Buyer Responsibilities
Marketplace buyers agree to:
- Complete KYC verification for certain transaction types
- Provide accurate delivery and payment information
- Honor purchase commitments and payment terms
- Inspect products upon delivery and report issues promptly
- Comply with business buyer regulations if applicable
5.3 Transactions and Payments
- Agrosoko facilitates connections between buyers and sellers
- Payment terms are agreed between buyer and warehouse operator
- Agrosoko may charge transaction or platform fees as disclosed
- Refunds and disputes are handled according to our dispute resolution policy
6. Offline-First Functionality
Our Farm Manager and Warehouse Manager applications support offline operation:
- Data is cached locally on your device using IndexedDB technology
- Changes made offline are queued for synchronization when connectivity is restored
- You are responsible for device security and local data protection
- Sync conflicts are resolved using last-write-wins or manual resolution
- Critical operations may require online connectivity
7. Data Ownership and License
7.1 Your Data
You retain ownership of all data you submit to Agrosoko, including:
- Farm records, farmer information, and season data
- Warehouse inventory and transaction records
- Product listings and business information
- Custom fields and organizational data
7.2 License to Agrosoko
You grant Agrosoko a worldwide, non-exclusive license to:
- Store, process, and transmit your data to provide services
- Display product listings on the marketplace
- Generate aggregated, anonymized analytics and insights
- Backup and replicate data for service reliability
7.3 Multi-Tenant Isolation
We maintain strict data isolation between organizations:
- Organization data is isolated through tenant-based access controls
- Team members can only access their organization’s data
- Marketplace products are publicly visible but transactional data remains private
8. Intellectual Property
8.1 Agrosoko Property
Agrosoko and its licensors own all rights to:
- Platform software, applications, and technology
- Agrosoko trademarks, logos, and branding
- Documentation, user interfaces, and design elements
- Proprietary algorithms and data models
8.2 Third-Party Services
We integrate with third-party services including Clerk (authentication), Convex (database), and others. Use of these services is subject to their respective terms.
9. Fees and Payment
- Subscription fees for organization accounts are billed according to your plan
- Marketplace transaction fees may apply as disclosed
- Fees are non-refundable except as required by law
- We may change fees with 30 days’ advance notice
- Failure to pay may result in service suspension or termination
10. Service Availability and Support
10.1 Service Level
While we strive for high availability:
- Services are provided “as is” and “as available”
- We do not guarantee uninterrupted or error-free operation
- Scheduled maintenance will be announced in advance when possible
- Offline-first apps continue functioning during network outages
10.2 Support
Support availability varies by account type and subscription level.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Agrosoko is not liable for indirect, incidental, special, consequential, or punitive damages
- Our total liability shall not exceed fees paid by you in the 12 months preceding the claim
- We are not responsible for data loss due to user error, device failure, or force majeure
- We are not a party to transactions between marketplace buyers and sellers
- We do not guarantee product quality, delivery, or payment completion
12. Indemnification
You agree to indemnify and hold harmless Agrosoko from claims arising from:
- Your violation of these Terms or applicable laws
- Your data or content submitted to the platform
- Your use of the services
- Disputes with other users, including marketplace transactions
13. Term and Termination
13.1 Termination by You
- You may terminate your account at any time through account settings
- Data export options are available before termination
- Prepaid fees are non-refundable upon voluntary termination
13.2 Termination by Agrosoko
We may suspend or terminate accounts for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Extended inactivity (with notice)
13.3 Effect of Termination
- Access to services will be revoked
- Data may be retained for legal compliance or deleted according to our retention policy
- Marketplace listings will be removed
- Outstanding payment obligations survive termination
14. Privacy and Data Protection
Your use of Agrosoko is subject to our Privacy Policy, which is incorporated by reference. We process data in accordance with applicable privacy laws including GDPR and local data protection regulations.
15. Modifications to Terms
We may modify these Terms at any time:
- Material changes will be notified via email or platform notification
- Continued use after notification constitutes acceptance
- If you disagree with changes, you may terminate your account
16. Dispute Resolution
16.1 Governing Law
These Terms are governed by the laws of United Republic of Tanzania, without regard to conflict of law provisions.
16.2 Dispute Process
- Contact support to attempt informal resolution
- Mediation may be required before litigation

17. Miscellaneous
17.1 Entire Agreement
These Terms, along with the Privacy Policy, constitute the entire agreement between you and Agrosoko.
17.2 Severability
If any provision is found unenforceable, the remaining provisions remain in effect.
17.3 No Waiver
Failure to enforce any provision does not constitute a waiver of that provision.
17.4 Assignment
You may not assign these Terms without our consent. We may assign these Terms without restriction.
17.5 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control.

19. Additional Terms for Specific Services

Use of mobile PWA applications is subject to additional app store terms and device requirements.
19.2 API Access
API access, if provided, is subject to separate API Terms and rate limits.
19.3 Beta Features
Beta or experimental features are provided “as is” with no warranties and may be discontinued at any time.
By using Agrosoko, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
